Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the ShipGuarde website and platform (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Service

ShipGuarde is an AI-powered quality-gate platform that runs automated agents against the URLs and pull requests you submit and returns verdicts and reports. The Service is offered on an evolving basis and may change, be interrupted, or be discontinued at any time.

2. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for maintaining the security of your credentials, and for all activity that occurs under your account.

3. Acceptable use

You may only submit URLs, applications, and repositories that you own or are authorized to test. You agree not to:

  • Use the Service to scan, probe, or test any property without proper authorization.
  • Attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service or its infrastructure.
  • Upload unlawful, infringing, or malicious content, or use the Service to violate the rights of others.
  • Use the Service to build or train a competing product, or resell it without our consent.

4. Your content

You retain all rights to the content you submit (“Customer Content”), including URLs, configurations, and the pages our agents evaluate. You grant us a limited license to host, process, and display Customer Content solely to operate and improve the Service. You are responsible for ensuring you have the rights necessary to submit Customer Content.

5. Third-party services

The Service integrates with third parties such as GitHub, authentication providers, and AI model providers. Your use of those integrations is also governed by their terms, and we are not responsible for third-party services. You authorize us to access third-party data as needed to provide the features you enable.

6. Plans and fees

Some features may be offered as beta or preview and are provided “as is” and may be modified or removed. Where the Service offers paid plans, applicable fees, usage limits, and billing terms will be presented to you before purchase. We may change pricing prospectively with reasonable notice.

7. Intellectual property

The Service, including its software, models, design, and trademarks, is owned by ShipGuarde and its licensors and is protected by applicable laws. Except for the rights expressly granted to you, we reserve all rights in the Service.

8. AI output disclaimer

ShipGuarde uses automated agents and AI models to generate verdicts, findings, and reports. This output is provided for informational purposes, may be incomplete or inaccurate, and is not a guarantee that your software is free of defects, secure, accessible, or compliant. You are solely responsible for decisions you make based on the output, including any decision to release software.

9. Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by law, ShipGuarde and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or USD 100.

11. Indemnification

You agree to indemnify and hold harmless ShipGuarde from any claims, damages, and expenses arising out of your Customer Content, your use of the Service, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. Upon termination, your right to use the Service ends; sections that by their nature should survive will continue to apply.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which ShipGuarde is established, without regard to conflict-of-laws rules, and the courts of that jurisdiction will have exclusive jurisdiction over any disputes, except where applicable law provides otherwise.

14. Changes to these Terms

We may update these Terms from time to time. When changes are material, we will update the “Last updated” date above and, where appropriate, notify you. Continued use of the Service after changes take effect constitutes acceptance.
